Terms of Service

These Terms of Service ("Terms") govern your use of the MailLedger add-in and related services. By installing, accessing, or using MailLedger, you agree to these Terms. If you do not agree, do not use the add-in.
1. Acceptance and Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the authority to bind yourself or your organization to these Terms. If you use MailLedger on behalf of an organization, you represent that you have that authority.
2. Service Description
MailLedger is a Microsoft Outlook add-in that assists with email organization. It provides folder suggestions based on patterns learned from your mailbox, moves messages between folders at your direction, and supports features such as Send & File. The service is provided subject to these Terms and our Privacy Policy.
3. Account and Microsoft 365
Use of MailLedger requires a valid Microsoft 365 account and compliance with Microsoft's terms and policies. You are responsible for maintaining the security of your account. MailLedger does not store your Microsoft credentials; authentication is handled by Microsoft.
4. Subscription and Payment
MailLedger is a paid subscription service. By subscribing, you agree to pay the applicable fees (e.g., per-account monthly or annual) as presented at the time of purchase. Payment is processed through our designated payment provider. You may cancel at any time; your subscription remains active until the end of the current billing period, and no refund is owed for the unused portion. We may change pricing with reasonable notice; continued use after a change constitutes acceptance.
5. Your Data and Privacy
You retain full ownership of your email and data. MailLedger accesses your mailbox only with permissions you explicitly grant through Microsoft's consent flow. Our handling of data is described in our Privacy Policy, which is incorporated into these Terms.
6. Acceptable Use
You agree to use MailLedger only in accordance with these Terms and applicable law. You may not:
- Use the add-in for any illegal or unauthorized purpose
- Attempt to reverse engineer, decompile, or extract the add-in's source code (except as allowed by law)
- Resell, sublicense, or redistribute MailLedger except as we explicitly allow
- Use MailLedger in a way that could harm, overload, or impair our or Microsoft's systems
We may suspend or terminate your access if we reasonably believe you have violated these Terms.
7. Intellectual Property
MailLedger, including its name, branding, and add-in code, is owned by us or our licensors. These Terms do not grant you any right, title, or interest in our intellectual property other than the limited right to use the add-in as described.
8. Disclaimers
MailLedger is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the add-in will be uninterrupted, error-free, or that suggestions will be accurate. You are responsible for verifying important actions (e.g., where emails are filed).
9. Limitation of Liability
To the maximum extent permitted by law, we and our affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of data, revenue, or profit), whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. Our total liability for any claims arising out of or related to these Terms or the add-in shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of MailLedger, your violation of these Terms, or your violation of any third-party rights.
11. Termination
You may stop using MailLedger at any time by uninstalling the add-in and canceling your subscription. We may suspend or terminate your access to MailLedger for violation of these Terms, non-payment, or for any other reason with reasonable notice where feasible. Upon termination, your right to use MailLedger ceases; we have no obligation to retain your data.
12. Changes to the Terms
We may update these Terms from time to time. The "Last updated" date at the top will change when we do. We may notify you of material changes by email or through the add-in. Continued use of MailLedger after the changes take effect constitutes acceptance. If you do not agree, you must stop using the add-in and cancel your subscription.
13. General
These Terms constitute the entire agreement between you and us regarding MailLedger. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles.
